Terms of Service

1. Agreement
These Terms govern your use of the Orajic Hotel Management System ("HMS", "the Service"), provided by Orajic AI Solutions & Automations ("we", "us"). By creating an account or using HMS, you (the hotel owner, and each staff member you authorise) agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.
2. The Service
HMS is subscription software for managing hotel operations — check-ins, guest records, bookings, rooms, billing and related features. We may add, change or remove features over time.
3. Accounts and staff
- The hotel owner is responsible for the account, for the staff logins they create, and for all activity under those logins.
- Keep credentials confidential and don't share a single login between people. Tell us promptly if you suspect unauthorised access.
- You're responsible for the accuracy and lawfulness of the data you enter, including guest identity data.
4. Acceptable use (including for staff accounts)
You and your staff agree to use HMS only for legitimate hotel operations and to not:
- Use it for any unlawful purpose, or to collect or handle guest ID data without the lawful basis and consent the law requires;
- Access, misuse, export or disclose guest personal/ID data for anything other than running the hotel and meeting legal obligations;
- Share, resell, sublicense or provide the Service to third parties;
- Reverse-engineer, scrape, overload, probe or attempt to bypass the security or access controls of the Service;
- Upload another party's data you have no right to, or infringe anyone's rights.
Staff accounts are for named individuals acting for the hotel; the owner is accountable for their compliance with this section.
5. Subscription, billing and auto-pay
- HMS is billed on a monthly subscription via Razorpay auto-pay (an e-mandate you authorise). New hotels may start with a 3-day free trial; the first charge is taken at the end of the trial.
- Some plans include a one-time setup/onboarding fee.
- Your subscription auto-renews every month by automatic debit until you cancel.
- We may change prices with advance notice; changes take effect from your next billing cycle.
6. What happens if payment fails (non-payment lock)
This describes exactly how the Service behaves:
- If an auto-debit fails or your mandate lapses, your account enters a grace period of 3 days, during which HMS keeps working normally.
- If payment is still not completed after the grace period, the account is locked: users can no longer access hotel features and are directed to the billing screen. Your data is not deleted — it is retained and preserved.
- The owner can always log in to the billing/payment screen even while locked, and completing payment restores full access immediately.
7. Cancellation and refunds
- You may cancel anytime. Cancellation stops future auto-debits and takes effect at the end of your current paid month — you keep access until then.
- Fees are non-refundable. We do not refund for partial months or unused time, and the one-time setup/onboarding fee is non-refundable.
8. Your data responsibilities and our role
You (the hotel) are the Data Fiduciary for your guests' data and are responsible for lawful collection, notice/consent, and guest-registration compliance (e.g. Form C). Orajic acts as your Data Processor for that data, as described in the Privacy Policy. You authorise us to process guest data through our service providers (including Google's OCR, Razorpay, and email) to deliver HMS.
9. Availability and disclaimers
HMS is provided "as is" and "as available." We work to keep it reliable but do not warrant uninterrupted or error-free operation, and we may perform maintenance or updates. We are not responsible for outages or data issues caused by third-party providers (e.g. payment, hosting, connectivity) or by your own misuse or incorrect data entry.
10. Limitation of liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, goodwill or data.
- Our total liability for any claim relating to the Service is limited to the subscription fees you paid to us in the 3 months before the event giving rise to the claim.
- Nothing here limits liability that cannot be limited under applicable law.
11. Indemnity
You agree to indemnify Orajic against claims arising from your unlawful collection or handling of guest data, your breach of these Terms, or your misuse of the Service.
12. Suspension and termination
We may suspend or terminate access for non-payment, breach of these Terms, or unlawful use. On termination, your data is handled as described in the Privacy Policy.
13. Governing law
These Terms are governed by the laws of India, and disputes are subject to the courts of Solapur, Maharashtra.
